Norwella VIP Club — Membership Agreement

Effective date: 13 May 2026

This Membership Agreement (the "Agreement") governs your enrollment in and use of the Norwella VIP Club (the "Club"), operated by ABN GLOBAL SALES LLC, a limited liability company organised under the laws of the State of Florida, United States (EIN: 32-0827383), trading as "Norwella" ("Norwella", "we", "us", "our").

By enrolling, you agree to this Agreement, our Terms of Service, Privacy Policy, and Refund Policy. If you do not agree, please do not enrol.

1. Enrollment

To enrol in the Norwella VIP Club, you must:

  • Be at least 18 years old
  • Be a legal resident of the United Kingdom or the United States
  • Provide a valid payment method (Visa, Mastercard, American Express, Shop Pay, PayPal, Google Pay, or Apple Pay)
  • Confirm that the payment method is yours, or that you are authorised to use it

How enrolment happens

When you purchase certain qualifying products on norwella.com, the Norwella VIP Club membership is automatically included in your cart. The membership is clearly displayed in your cart with a "Remove from order" button next to it before you complete the order. You can remove the membership at any point before completing checkout.

Before you finalise your order, you will see:

  • The membership listed as a line item in your cart
  • The 21-day free trial period and the £29.90/month (UK members) or $29.90/month (US members) rate that begins after the trial
  • A disclosure notice above the "Place Order" button explaining the trial and auto-renewal
  • A "Cancel anytime in 1 click" reference in the footer

Acknowledgment of auto-add at checkout

By completing your order without removing the Norwella VIP Club membership from your cart, you acknowledge and agree that:

  • The membership was visible in your cart before checkout
  • You had a clear opportunity to remove it using the "Remove from order" button
  • You consent to enrol in the Norwella VIP Club on the trial and renewal terms set out below
  • You consent to receive a renewal reminder email 3 days before your first paid charge
  • You expressly request immediate delivery of the digital benefits described in Section 7 (member discount code, member shipping benefit, drop access, monthly content, portal access) and waive your right of withdrawal with respect to those digital benefits to the extent permitted by law
  • You may cancel the membership at any time using the methods set out in Section 8; cancellation ends future charges only

We confirm your enrolment by email immediately after checkout.

2. Free trial (21 days)

New members receive a 21-day free trial of the Norwella VIP Club, beginning on the date of enrollment ("Trial Period").

During the Trial Period:

  • You access all Club benefits (see Section 5)
  • You are not charged any monthly fee
  • You may cancel at any time with no charge (see Section 8)

At the end of day 21, your Trial Period ends. If you do not cancel before then, your membership automatically converts to a paid subscription at £29.90 per month (UK members) or $29.90 per month (US members) (see Section 3).

We send you a reminder email 3 days before the end of your Trial Period so you can decide.

3. Membership fee and automatic renewal

After the Trial Period, the Club is priced at:

  • £29.90 per month for UK members (VAT included where applicable)
  • $29.90 per month for US members (state and local sales tax added at checkout where applicable)

Your card is charged automatically on the same calendar day each month (the "Billing Date") corresponding to your trial end date. For example, if your trial ended on the 22nd, you are billed on the 22nd of each month thereafter.

Your membership automatically renews each month until you cancel.

Changes to the fee

We may change the monthly fee with at least 30 days' advance notice by email. If you do not agree to the new fee, you can cancel before it takes effect (see Section 8).

4. Pre-renewal reminder (all members)

We send a renewal reminder email 3 days before every monthly charge to every member, regardless of location — this covers UK Consumer Markets Authority best practice, US California Auto-Renewal Law (CARL) when we expand to California, and New York GBL §527-a.

The reminder tells you:

  • The amount that will be charged (£29.90 for UK members · $29.90 for US members)
  • The date of the charge
  • How to cancel before the charge if you wish

This reminder is in addition to your right to cancel at any time.

5. Member benefits

As a Norwella VIP Club member, you receive:

  • Free Royal Mail Tracked 48 shipping on every order, with no minimum spend
  • 20% off every product on norwella.com
  • Early access to new product drops (typically 7 days before public release)
  • Priority dispatch (same-day on orders placed before 2pm Monday–Friday)
  • Monthly "From the Lab" email — what we tested, what worked, what didn't
  • Pause anytime — see Section 6
  • Cancel anytime in 1 click — see Section 8

Benefits apply automatically when you are logged into your account and your membership is active.

We may add, modify, or substitute benefits from time to time. We will not reduce your benefits materially without 30 days' advance notice by email. Your statutory rights are not affected.

6. Pause feature

You can pause your membership instead of cancelling. When paused:

  • Your card is not charged during the pause period
  • Your benefits are suspended for the pause period
  • You can resume at any time via your account portal

You can pause for up to 3 months at a time. After 3 months, the membership either resumes at your original billing date or you can extend the pause.

Pausing is available via your account portal at norwella.com/account or by emailing support@norwella.com.

7. Digital benefits and immediate delivery

The Norwella VIP Club includes the following digital benefits, which are delivered to your account immediately upon enrolment:

  • A member discount code activating 20% off across norwella.com
  • The free Royal Mail Tracked shipping benefit applied to all member orders
  • Early access notifications for new product drops (sent via email)
  • The monthly "From the Lab" member-only email and content
  • Access to your member portal for account management, pause, and cancellation

Consent to immediate delivery

By enroling in the Norwella VIP Club, you consent that the digital benefits listed above are delivered to you immediately upon enrolment, and you acknowledge that performance of the digital content begins at that point. You confirm that you understand this affects your right of withdrawal under the UK Consumer Contracts Regulations 2013 with respect to the digital content of the Club, to the extent permitted by law.

Non-refundable nature of membership fees

Because member benefits are delivered immediately upon enrolment, membership fees for periods where benefits were available are generally non-refundable, except where required by law or where benefits were not delivered due to our fault.

Cancellation under Section 8 ends future charges. It does not generate a refund for periods during which benefits were delivered and available to you.

Where refunds remain available

Your non-waivable statutory rights are preserved. In particular, you remain entitled to a refund where:

  • The digital benefits were not actually delivered to your account due to a fault on our side
  • We were unable to make benefits available because of our fault (in which case a refund proportional to the period of unavailability applies)
  • A non-waivable statutory right under the UK Consumer Rights Act 2015 applies

Nothing in this section excludes our liability for fraud, fraudulent misrepresentation, or breach of statutory consumer rights.

Credits (not currently active)

The Norwella VIP Club does not currently include monthly store credit. If we introduce a credit benefit in future, we will give you at least 30 days' advance notice by email and publish updated terms.

8. Cancellation

You may cancel your Norwella VIP Club membership at any time using one of two methods:

Option 1 — Online (1 click)

  1. Log into your account at norwella.com/account
  2. Go to "Membership"
  3. Click "Cancel Membership"
  4. Confirm

You'll receive a confirmation email immediately.

Option 2 — Email

Send an email to support@norwella.com from the email address associated with your account, with the subject "Cancel Membership". We'll confirm your cancellation within 24 hours (Monday to Friday).

When does cancellation take effect?

Cancellation takes effect at the end of your current billing cycle. You keep all member benefits until that date. There are no further charges after the cycle ends. We do not issue prorated refunds for partial months.

No phone call required

We do not require you to call us to cancel. We do not require you to chat with an agent. We do not ask "are you sure?" more than once. Cancellation is as easy as enrollment.

Reactivation

You can reactivate at any time after cancellation via your account portal. Your benefits resume immediately and a new billing cycle begins.

9. Refunds

Because member benefits are delivered immediately upon enrolment (see Section 7), membership fees for periods where benefits were available are generally non-refundable, except where required by law or where benefits were not delivered due to our fault.

Interaction with the 14-day right of withdrawal

By enroling, you consented to immediate delivery of the digital benefits described in Section 7 and acknowledged that your right of withdrawal under UK Consumer Contracts Regulations 2013 is affected accordingly, to the extent permitted by law.

In practice this means:

  • Once digital benefits have been delivered (which happens at the moment of enrolment, via your Welcome email and portal activation), the fee for that period is generally non-refundable
  • Cancellation under Section 8 ends future charges; it does not automatically generate a refund for the current cycle
  • Where the digital benefits were not delivered, or you were prevented from accessing them due to our fault, you remain entitled to a full or proportional refund

Faulty or undelivered benefits

If a member benefit was promised but not delivered (for example, the discount code did not activate, free shipping was not applied to an order, or the member portal was inaccessible), email support@norwella.com and we will refund the affected fee.

10. Failed payments

If a recurring billing attempt fails:

  • We retry the charge up to 3 times within 7 days
  • We notify you by email after each failed attempt with a link to update your payment method
  • If payment is not successfully collected within 7 days of the first failed attempt, your membership is placed in a "lapsed" state, benefits are suspended, and your account is not charged again automatically

You can reactivate by updating your payment method in your account portal.

We will not charge you retroactively for the period during which your membership was lapsed.

11. Eligibility and account accuracy

You agree to maintain accurate contact, billing, and shipping information in your account. We are not responsible for failed deliveries, charge declines, or missed communications caused by out-of-date information.

If you change email address, please update your account so renewal reminders and confirmations reach you.

12. Changes to benefits and terms

We may modify Club benefits, pricing, or these terms at any time. Material changes will be communicated by email at least 30 days in advance.

Material changes include (but are not limited to):

  • Changes to the monthly fee
  • Removal of significant benefits
  • Changes to cancellation or refund terms

Continued membership after the effective date of a change constitutes acceptance. If you do not agree, you may cancel at any time without penalty (see Section 8).

Your statutory rights as a UK consumer are not affected by any change to these terms.

13. Termination by Norwella

We may suspend or terminate your membership at any time for:

  • Material breach of this Agreement, our Terms of Service, or our Acceptable Use rules
  • Fraud, attempted fraud, or unauthorised use of payment methods
  • Abuse of member benefits (such as excessive returns or attempts to exploit pricing errors)
  • Repeated chargebacks against valid charges

We will email you to explain the reason before terminating, unless circumstances require immediate action (such as suspected fraud).

If we terminate for reasons within our control (not your fault), we will refund any prepaid fees for the unused portion of the current cycle.

14. Disclaimers

Member benefits are provided "as is" and "as available." We make no warranty that any specific benefit, product, or content will be available, error-free, or suitable for any particular purpose, beyond the protections of UK consumer law.

Your statutory rights are not affected by anything in this Agreement.

15. Limitation of liability

Nothing in this Agreement limits or excludes our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Breach of your statutory rights under the Consumer Rights Act 2015
  • Any other liability that cannot be limited or excluded under UK law

Subject to the above, our total liability to you under this Agreement is limited to the total amount you paid to Norwella in the 6 months preceding the event giving rise to the claim.

We are not liable for indirect or consequential losses except where such liability cannot be excluded under UK law.

16. Disputes — court process, not mandatory arbitration

For corporate and commercial matters, any dispute arising out of or related to this Agreement is subject to the courts of Santa Rosa County, Florida, United States.

However, for consumer disputes: if you are a consumer resident in the United Kingdom, the European Economic Area, or any other jurisdiction whose consumer protection laws give you a right to sue locally, you may bring proceedings in your local courts and we will not contest that jurisdiction.

We do not require you to submit disputes to arbitration. We do not waive your right to bring a claim in court. Your statutory rights are preserved.

EU consumers: you may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17. Governing law

This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

Important for UK and EU consumers: Where you are a consumer resident in the United Kingdom or European Economic Area, your local consumer protection laws continue to apply to the extent they cannot be excluded or limited by contract. This includes (without limitation) the UK Consumer Rights Act 2015, the UK Consumer Contracts Regulations 2013, and the UK GDPR. Nothing in this Agreement excludes or limits your statutory rights as a consumer in your country of residence.

18. Entire agreement

This Agreement, together with our Terms of Service, Privacy Policy, Refund Policy, and Shipping Policy, constitutes the entire agreement between you and Norwella regarding the Norwella VIP Club. It supersedes any prior agreements or understandings regarding the Club.

If any provision of this Agreement is found unlawful or unenforceable, the remaining provisions remain in full effect.
